01Service Description

Afendor Group provides professional technology services including but not limited to web development, SaaS engineering, cloud infrastructure, hosting solutions, API development, UI/UX design, and business automation. Our services are delivered on a project basis, subscription basis, or as otherwise agreed upon in writing.

We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice. We will make commercially reasonable efforts to notify active clients of material changes to services they are currently using.

02Acceptable Use Policy

You agree to use our services only for lawful purposes and in accordance with these Terms. You are responsible for all activity that occurs under your account.

03Payment Terms & Billing

Payment terms are established at the time of service agreement. All fees are quoted in the currency specified in your invoice and are due according to the payment schedule outlined in your service agreement.

We reserve the right to suspend services for accounts with overdue payments exceeding 30 days. All prices are exclusive of applicable taxes unless otherwise stated.

04Intellectual Property

Unless otherwise specified in a written agreement, the following intellectual property terms apply:

• Client Work: Upon full payment, all custom work product created specifically for you is assigned to you, unless otherwise agreed.
• Our Tools & Frameworks: Pre-existing tools, libraries, and frameworks developed by Afendor Group remain our intellectual property. You receive a perpetual license to use them within your delivered project.
• Third-Party Components: Open-source or third-party components are subject to their respective licenses.
• Brand & Identity: The Afendor Group name, logo, and branding materials are our exclusive property and may not be used without written permission.

05Limitation of Liability

Our total aggregate liability for any claims arising from or related to these Terms or our services shall not exceed the total amount paid by you to Afendor Group in the twelve (12) months preceding the event giving rise to the claim.

We do not guarantee that our services will be uninterrupted, error-free, or completely secure. We provide our services on an "as is" and "as available" basis without warranties of any kind, whether express or implied.

06Termination Conditions

Either party may terminate the service relationship under the following conditions:

• By You: You may terminate your account or cancel services at any time by providing written notice to support@afendor.xyz.
• By Us: We may terminate or suspend your access immediately if you breach these Terms, fail to make timely payments, or engage in prohibited activities.
• Mutual Agreement: Either party may terminate with 30 days written notice for any reason.

Upon termination, your right to use our services ceases immediately. We will provide reasonable assistance in transitioning your data and projects, subject to payment of any outstanding fees. Sections relating to intellectual property, limitation of liability, and governing law survive termination.

07Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these Terms or your use of our services shall be resolved through good-faith negotiation first, and if unresolved, through binding arbitration or in the courts of competent jurisdiction.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
